CNTweb Terms of Service

General Terms

1.1 This agreement is between CNTweb Internet Services and you.

1.1.1 You certify that you are at least 18 years of age. Proof of age will be provided upon demand.

1.1.2 If you applied for an account in the name of a business, government, non-profit organization, you certify that you are authorized to execute contractual agreements on behalf of the entity. Proof of authorization will be provided upon demand.

1.2 You agree to be bound by all of the terms within this agreement and to pay for all services provided in conection with this agreement.

1.3 CNTweb may alter, amend, or modify the agreement at any time, with 30 days notice. The current version will be published on the CNTweb client portal.

1.4 This agreement begins upon acceptance of your first CNTweb order. Upon modification or amendment, your continued use of CNTweb service beyond the revision date is your acceptance of the revised agreement.

 

Billing and Contact Information

2.1 You are required to provide accurate and correct billing and contact information. This includes your legal name, physical address, telephone number, and email address.

2.2 You are to provide corrections and updates to your account information within 30 days of the change.

2.3 You will provide supporting documentation when requested.

2.4 Failure to provide supporting documentation or providing fraudulent information or documents will result in immediate account termination and bar you from holding any future account with CNTweb.

2.5 Incorrect or inaccurate information may result in immediate account suspension until the error is corrected.

 

Ownership Interests

3.1 All CNTweb equipment remains the property of CNTweb (or its agents) and you have no ownership interest in the equipment. This includes dedicated equipment assigned for your exclusive use.

3.2 Ownership of intellectual property remains with the registered copyright holder (or equivalent). Intellectual property must be owned or properly licensed by you. You are responsible for properly licensing content. Under no circumstance shall CNTweb be responsible for paying a licensing fee for content we provide via our services. You agree to indemnify CNTweb against all claims arising from intellectual property disputes for content.

3.3 In most cases, CNTweb provides licensing for all software used to provide your service. However, in some cases you may be required to pay a licensing fee or provide proof or proper software license before software is installed or utilized on our equipment.

 

Transfer and Re-Assignment

4.1 CNTweb may transfer your content to different (and equivalent or better) hardware or storage media at any time.

4.2 Such transfer may be without notice, provided no interruption of service occurs.

 

Back-Ups, Content Storage, and Access

5.1 You are required to maintain a master copy of all content published to CNTweb services.

5.2 CNTweb maintains a system of vigrous back-ups that includes both on-site and off-site daily, weekly, and monthly back-ups of content. However, you are encouraged to create your own system of back-ups as an extra precaution against catastrophy.

5.3 You have no right to access stored content unless your account is paid and not under suspension.

5.4 You are to remove your content prior to the termination of this agreement. You will have no access to your content after account termination, regardless of the reason.

 

Hosting

6.1 Web and email hosting accounts may be on shared or dedicated equipment (depending on the type of hosting package provided).

6.2 Shared Hosting:

6.2.1 Shared hosting involves the provision of services on hardware or storage media shared by other clients. As such, performance cannot be guaranteed as all clients assigned to the hardware must share its resources. CNTweb recommends dedicated hardware for more reliable and predictable performance.

6.2.2 CNTweb may re-assign content to different hardware to balance shared resources.

6.2.3 CNTweb may require a shared hosting account be moved to dedicated hardware when its performance or hardware needs exceed those of the shared hosting platform.

6.2.3.1 Except for emergencies, you will be provided 30 days notice of such a request.

6.2.3.2 During the 30 day period, you may mitigate the demand and remain on shared hosting.

6.2.3.3 At the conclusion of the 30 day period, if demand has not been mitigated, you will be required to move to a new dedicated hosting package (and pay any difference in package price) or your account will be terminated.

6.2.3.4 In emergency cases, CNTweb may move content to dedicated hardware with no notice at no additional charge. In such case, you will be given until the end of your contract term to mitigate the demand or select a new dedicated hosting package.

6.3 Dedicated Hosting:

6.3.1 Dedicated hosting involves the provision of services with guaranteed resources. This may include virtual private servers, dedicated servers. or cloud services.

6.3.2 CNTweb may recommend (but will not require) additional resources be allocated to a dedicated hosting account in order to meet demand. CNTweb will not be responsible for service disruptions caused by your failure to request additional resources.

6.4 Email Hosting:

Email addresses using a domain owned by CNTweb remain the property of CNTweb. You have no right of ownership and the address will be re-claimed upon account termination.

 

IP Addresses:

7.1 IP addresses may be shared or assigned for exclusive use by a particular client or service.

7.2 IP addresses do not become the property of the client and may be re-assigned at any time.

7.3 Prior to assigning IP addresses, CNTweb will check the address against common reputation black lists.

7.4 CNTweb will take all necessary measures to prevent an IP from becoming blacklisted. This includes termination of client accounts responsible for the blacklisting.

7.5 WHOIS records will not be delegated to clients.

 

Domains:

Domains may be registered through CNTweb or through a third-party registrar.

8.1. Domains registered through CNTweb will be controlled by CNTweb on your behalf.

8.1.1 CNTweb will be listed as the registrant, administrative, billing, and technical contact for the domain.

8.1.2 Upon termination of this agreement, you have 30 days to request a domain transfer from CNTweb to another registrar.

8.1.3 Failure to transfer the domain within 30 days will result in forfeiture of the domain to CNTweb.

8.2 Domains registered by you through a third-party domain registrar will remain yours (providing you abide by that provider's terms of service).

8.2.1 You agree to provide CNTweb with technical contact login access (if available). Otherwise, you agree to promptly make any requested technical modifications at the domain registrar.

8.2.2 CNTweb must be listed as the technical contact for all domains connected to CNTweb facilities.

8.2.3 Failure to provide login or make requested changes may result in service disruption. You are responsible for any service disruption that results from your failure to comply.

 

Domain Name Service:

9.1 CNTweb includes Domain Name Service (DNS) with all hosting accounts.

9.2 Due to the complexity and critical nature of proper DNS configuration, it is highly suggested that you allow CNTweb to manage DNS and provision DNS through our servers.

 

Disclaimers and Limitations

10.1 CNTweb makes no warranty -- expressed or implied -- regarding our services. All services are provided "as-is" and used at your own risk.

10.2 You agree to indemnify and hold CNTweb harmless against any and all liability, loss, claim, judgment, damage, and expense.

10.3 Under no circumstances will CNTweb be liable for any damages that result from the use or inability to use our services. Your sole and exclusive remedy is to discontinue using our services.

10.4 You agree to binding arbitration in all disputes or claims against CNTweb. The arbitrator and venue will be selected by CNTweb. All decisions of the arbitrator are final.

 

Additional Policies are Binding

13 Any policy adopted and published on the CNTweb client portal is included within the terms of service and is binding.
